Terms and Conditions
These Terms and Conditions ("Terms") govern the legal relationship between you ("Client", "you", or "your") and Logisphere Solutions Limited ("Company", "we", "us", or "our") regarding the provision of branding, trademark, and digital strategy services.
By engaging us—whether via written agreement, electronic communication, or online platforms—you accept these Terms in full. If you do not agree, please refrain from using our services.
Definitions
- "Services" – Refers to the consultancy, creative, strategic, and legal support services offered by the Company including but not limited to brand identity development, trademark strategy, application management, digital content strategy, and brand promotion.
- "Client Materials" – Any text, data, trademarks, designs, or other content provided by the Client.
- "Deliverables" – Any materials or results produced and provided to the Client as part of the Services.
- "Intellectual Property" – Includes copyrights, trademarks, design rights, trade secrets, and other proprietary rights.
- "Third Parties" – Any external service providers, legal representatives, government or IP offices involved in the execution of the Services.
Scope of Services
Logisphere Solutions Limited offers the following professional services:
- Brand identity development (naming, logos, visual style)
- Trademark search, clearance, and registration strategy
- Trademark portfolio management and renewal
- Brand protection and infringement monitoring
- Digital brand positioning and go-to-market advisory
- Legal coordination with IP attorneys (on behalf of or in conjunction with the Client)
Custom services may be provided by mutual written agreement.
Engagement and Onboarding
All engagements commence upon:
- Execution of a signed Service Agreement or acceptance of a written Proposal/Quote; and
- Payment of any applicable upfront fees or retainers as outlined.
We reserve the right to decline an engagement at our sole discretion, including for conflicts of interest or reputational concerns.
Client Responsibilities
The Client agrees to:
- Provide timely, complete, and accurate information needed for the performance of the Services;
- Cooperate in good faith and respond promptly to communications;
- Secure appropriate rights, licenses, or permissions to use any Client Materials supplied;
- Review and approve Deliverables within reasonable timeframes.
Failure to fulfill these obligations may result in delays, additional fees, or suspension of Services.
Fee Structure
Fees may be based on:
- Hourly or daily rates
- Flat project rates
- Monthly or annual retainers
- Percentage-based commissions for licensing or commercial agreements
Fee structures will be defined in individual Proposals or Service Agreements.
Payment Terms
- Invoices are due within 14 calendar days unless otherwise stated.
- Late payments may incur interest at 2% per month and/or suspension of Services.
- All prices are quoted exclusive of VAT or applicable taxes, which will be added as required.
We reserve the right to require payment in advance or staged milestone payments for large projects.
Ownership of Client Materials
Client retains all rights to pre-existing materials and assets supplied to the Company. The Client warrants it has all necessary rights to use these materials.
Ownership of Deliverables
Ownership of the Deliverables is defined as follows:
- Creative Deliverables (e.g., brand designs, logos, visual systems): full ownership transfers to the Client upon final payment.
- Strategic Deliverables (e.g., reports, naming strategy, brand strategy): license to use granted upon payment, ownership subject to custom terms.
- Trademark Filing and Legal Documents: ownership remains with the Client; we act as an agent or intermediary unless specified otherwise.
The Company retains the right to display work in its portfolio unless explicitly prohibited in writing.
Confidentiality
Both parties agree to keep all non-public, confidential, or proprietary information exchanged under this agreement strictly confidential and not to disclose it to any third party without prior written consent, except as required by law or for the execution of the Services.
This obligation survives the termination of this agreement.
Warranties and Disclaimers
Mutual Warranties
Each party represents that it has the authority to enter into this agreement and will comply with applicable laws and regulations.
Disclaimer of Warranties
- We do not guarantee successful trademark registration or enforceability.
- We are not a law firm and do not offer legal advice unless explicitly stated.
- All services are provided "as is" and "as available."
Where legal services are necessary (e.g., oppositions, litigation), we will refer you to qualified IP attorneys.
Limitation of Liability
To the fullest extent permitted by law:
- We shall not be liable for indirect, consequential, or punitive damages (including loss of profits, business, or goodwill).
- Our aggregate liability under these Terms shall not exceed the total amount paid by the Client to us in the 12 months preceding the event giving rise to the claim.
This clause shall survive termination.
Termination
Either party may terminate the engagement:
- With 30 days' written notice; or
- Immediately, if the other party materially breaches the Terms and fails to remedy such breach within 10 days.
Consequences of Termination
Upon termination:
- All unpaid fees become immediately due;
- The Client will receive completed or partially completed Deliverables as agreed;
- Each party must return or destroy any confidential materials of the other.
Use of Subcontractors
We may, at our discretion, engage trusted subcontractors or external specialists to support the delivery of Services, provided they are bound by confidentiality and data protection obligations no less protective than those herein.
Force Majeure
We are not liable for any delay or failure to perform caused by circumstances beyond our reasonable control, including but not limited to: acts of God, war, natural disaster, pandemics, cyberattacks, or governmental actions.
Data Protection
We process all personal data in accordance with the EU General Data Protection Regulation (GDPR) and Cyprus data protection law. Please refer to our Privacy Policy for full details.
Where necessary, we may act as a Data Processor on behalf of the Client and enter into a Data Processing Agreement (DPA).
Governing Law and Jurisdiction
These Terms shall be governed by the laws of Cyprus. Any disputes shall be subject to the exclusive jurisdiction of the courts of Nicosia, Cyprus, unless otherwise agreed in writing.
These Terms, together with any signed Service Agreements, Proposals, and Appendices, constitute the entire agreement between the parties and supersede all prior agreements, negotiations, or understandings, whether oral or written.
Amendments
We may update these Terms from time to time. Material changes will be communicated via email or on our website. Continued use of our services after such changes constitutes acceptance.
